Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your organization's use of the Odash platform and services provided by Odash ("we," "our," or "us"). By accessing or using Odash, you agree to be bound by these Terms. If you do not agree, do not use the service.

2. Service Description

Odash provides custom-built operational dashboards for workspace operators. Our service includes:

  • A role-based dashboard tailored to your organization's operational structure
  • Integration with your existing systems (e.g., Salesforce, PMS, internal databases) to aggregate and display operational metrics
  • Ongoing maintenance, updates, and support during the term of your service agreement

The specific scope, pricing, and deliverables for your organization are defined in a separate Service Agreement or Statement of Work (SOW).

3. User Accounts & Access

Your organization is responsible for managing user accounts and ensuring that access credentials are kept confidential. You agree to:

  • Provide accurate account information for all users
  • Promptly revoke access for users who should no longer have it (e.g., departing employees)
  • Notify us immediately if you suspect unauthorized access to your dashboard

We assign role-based permissions (corporate, regional manager, location manager) as directed by your organization. Each user sees only the data scoped to their role and assignments.

4. Data Handling

4.1 Your Data

You retain all rights to your data. We do not claim ownership of any data processed through Odash. We act as a data processor on your behalf.

4.2 What We Store

We store only aggregated, anonymized operational metrics (e.g., revenue by location, compliance scores, inventory counts). Individual records from your connected systems are queried live and are never persisted in our database. See our Privacy Policy for details.

4.3 Data Processing Agreement

If required by your organization or applicable regulation, we will execute a Data Processing Agreement (DPA) that governs how we process data on your behalf.

5. Acceptable Use

You agree not to:

  • Use Odash for any purpose other than legitimate operational visibility for your organization
  • Attempt to access data belonging to other organizations or tenants
  • Reverse engineer, decompile, or attempt to extract the source code of the platform
  • Use the service to store, transmit, or process data that violates any applicable law or regulation
  • Share access credentials with unauthorized individuals or third parties
  • Introduce malicious code or attempt to compromise the security of the platform

6. Availability & Support

We strive to maintain high availability but do not guarantee uninterrupted service. Planned maintenance will be communicated in advance. We provide support via email during business hours. Specific SLA terms, if applicable, are defined in your Service Agreement.

7. Fees & Payment

Fees are defined in your Service Agreement or SOW. Unless otherwise stated:

  • Implementation fees are due upon execution of the Service Agreement
  • Recurring fees are billed monthly in advance
  • All fees are non-refundable except as required by applicable law
  • We may adjust recurring fees with 60 days' written notice

8. Intellectual Property

The Odash platform, including its code, design, and documentation, is our intellectual property. Your Service Agreement grants you a non-exclusive, non-transferable license to use the platform for the duration of the agreement.

Custom configurations, dashboards, and integrations built specifically for your organization are licensed to you for the term of the agreement. Underlying platform code and reusable components remain our property.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Odash is provided "as is" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service
  • Our total liability for any claim arising from these Terms or the service shall not exceed the fees paid by your organization in the 12 months preceding the claim
  • We are not responsible for the accuracy, completeness, or reliability of data sourced from your connected systems

10. Termination

10.1 By Either Party

Either party may terminate the Service Agreement with 30 days' written notice. Upon termination:

  • Your access to the dashboard will be deactivated at the end of the notice period
  • We will export your aggregated data in CSV format upon request
  • All data associated with your organization will be permanently deleted within 30 days of termination

10.2 For Cause

We may terminate your access immediately if you breach these Terms, including the Acceptable Use provisions. We will provide written notice of the breach and the reason for termination.

11. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in New York County, New York.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes at least 30 days in advance via email or through the dashboard. Continued use after changes take effect constitutes acceptance.
